WHAT STATE DEBT MEANS FOR THE PRICE OF GOLD AND YOUR PORTFOLIO

Throughout the history of the United States, there was only one state has ever had to declare bankruptcy, and that was during the Great Depression.  All of that may be about to change, however.  Illinois is presently facing a challenging financial crisis, one so severe that even the lottery may be shut down in its wake.

The truly unfortunate part of this whole situation is that the problem didn’t just spring up as part of a single poor choice, but has been an oncoming train for Illinois for quite some time.  One of the biggest problems the state faces is their pension system, a system so poorly funded that it was directly responsible for the state having its credit rating cut so far it now has the lowest in the country.

How severe is this situation?  The state has $13 billion dollars in unpaid bills, and $130 billion obligations for pensions that remain unfunded.1  As if that weren’t bad enough, the state’s entire budget is consumed by court-ordered payments, leaving the state without an operating budget.  The inability to meet these and other obligations will result in the state lotto being shut down as there’s no way the legislature can meet its yearly payment requirement.  As of June 30th, there is no money in the budget to pay prizes that would be awarded by the state.2  (just IOU’s)

An Unprecedented Solution May Be Used: State Bankruptcy

The situation is bad enough that the state has considered declaring Chapter 9 bankruptcy, a move that will require Congress getting involved.  While this is refuted by Steve Brown, Press Secretary for Michael Madigan the Illinois House Speaker, it’s suspicious that both Dick Durbin and Tammy Duckworth, Democratic US Senators for Illinois, refused to comment when asked for a statement about whether introducing a state bankruptcy measure would be considered.

Their hesitation is understandable, given that states do not have the same rights as city and county governments as pertains to bankruptcy.  In spite of that, certain legal and government experts have suggested that, in spite of the potential drawbacks, a properly handled bankruptcy stands as the best possible option than bailouts from the federal government or taxpayers.  In fact, it may be the only way to protect pensions and healthcare alike from drastic cuts that could lead to difficulties for thousands of people.

“Bankruptcy lets you get ahead of the problem” says David Skeel Jr., Law professor from the University of Pennsylvania.  Skeel believes that federal bankruptcy protection should be extended to states, and that Illinois stands as the perfect opportunity to demonstrate why.

  • Debts that are unable to be recovered get canceled.  Pension liabilities are included in these potential debts, which could permit $130 billion of debt to be eliminated in spite of the pension clause in the state constitution.
  • All existing employment contracts can be canceled when a state declares bankruptcy, allowing only favorable ones to be kept.  Collective bargaining agreements fall into this area as well.
  • In Bankruptcy the debt gets sorted out in an orderly fashion.  Any entity that can’t meet its obligation tends to fall into a chaotic free-for-all where creditors start flooding into the court system trying to ensure they get a piece of the pie before it’s all crumbs.  Bankruptcy prevents this litigious chaos storm. 1

So while the constitution explicitly provides the power to Congress to create bankruptcy laws, there are a lot of differing opinions on whether or not this is desirable.  Seventy years ago this power was supported in courts as applies to municipalities, there are those who are skeptical whether putting state finances in the hands of a Federal Bankruptcy court would cause break the tradition of states being independent sovereign bodies from the federal government.

Skeel believes that the voluntary nature of bankruptcy would remove any concerns about states sovereignty being undermined.  Regardless, it’s entirely possible that the courts would simply ignore the established rules in the event of a major financial emergency like the one brewing in Illinois, a point agreed with by Professor McConnell 1

Illinois has a present per-household debt of $27,000 in unfunded pension payments.  This crisis was ticking time bomb, growing as government pension funds grew to over 660 individual funds.  This might have been avoided if the state had been required to fully fund the tax pensions, preventing an ever growing body of debt, instead the money was spent on schools and infrastructure, leaving these debts growing and unmet.1

“We have tough, urgent choices to make,” said Governor Bruce Rauner “the legislature must be present to make them.”   To facilitate this he ordered 10-day special session during which they will hammer out a budget deal to put an end to this situation that is due to drag on to its third year.  Particularly frustrating to Rauner is that he feels the majority of the Democrats have been ignoring his recommendations on how to handle the crisis.3

That meeting seems to have failed to have born fruit, while an agreement was reached throughout the month on a blueprint of how to handle it, cooperation has been lacking to make it into action.  Fewer than 60 of the 118 House members responded to quorum calls on the 4th and 5th of July.  Will Illinois be the first state in over 80 years to file for bankruptcy?  It appears the jury is still out.

For Gold Investors this news can only be a good thing, and for potential pensioners a warning.  Gold is a great investment to prevent vulnerability to ones supposedly guaranteed pension being siphoned away by poor fiscal management on the part of our government.  One cannot overlook for those already invested this is only good news as gold thrives in an economy in upheaval.

Gold has been a go-to investment against an unhealthy economy, as evidenced by the spikes in value following the Brexit decision, and preceding the election of Trump due to his policies.  Both of these examples have shown that when economies are anticipated to experience a negative impact, gold prices skyrocket.  However, when economies are expected to stabilize, the price of gold drops.4

For those looking at getting into gold investing now could be the time – if Illinois does pursue bankruptcy it will pave the way for 12 other states to do the same.  With that kind of instability in government funds, gold should rise quickly in value – do you want to miss out on this potential boom?

I was looking for some excellent earnings numbers this past week and in the week to come but they’ve been lacklustre.

My thinking was last week and the week to come would be great, and perhaps compel stocks higher for a week or two after and then we’d be in for a nice period of consolidation until about November when we’d see strength return out of bases and we’d be in for a nice winter.

MGX Minerals To Acquire Petrolithium and Spodumene-Bearing Pegmatite Project Portfolio from Power Metals Corp.

VANCOUVER, British Columbia, Aug. 02, 2017 (GLOBE NEWSWIRE) — MGX Minerals Inc. (“MGX” or the “Company”) (CSE:XMG) (FKT:1MG) (OTC:MGXMF) announces it has entered into a Binding Letter of Intent (the “LOI”) with Power Metals Corp. (“Power Metals”) dated July 27th, 2017 to acquire certain interests held by Power Metals in exchange for common shares of the Company (the “Proposed Transaction”).

The Proposed Transaction terms are as follows:

  • MGX will acquire all of Power Metal’s U.S. Petrolithium Brine assets (listed below) and a 20 percent working interest in all of Power Metal’s current hard rock assets and any future assets acquired by Power Metals for the following 36 months;
  • MGX will have the right to purchase an additional 15 percent working interest in Power Metal’s hard rock assets for a period of 36 months for a total of C$10,000,000.
  • MGX will receive a call option to purchase up to 10,000,000 common shares of Power Metals at a price of C$0.65 per share for a period of 36 months.
  • MGX will issue Power Metals 3,000,000 common shares. These shares will be restricted and subject to a release schedule of 1,000,000 shares every 5 months from the signing of the definitive agreement.

The Transaction terms are subject to amendment based on tax and legal advice, and that the Parties agree to work together in good faith to negotiate and settle the final terms of the Transaction to be incorporated into the Definitive Agreements.

The LOI provides for an exclusive dealing period (the “Exclusivity Period”) commencing on acceptance of the LOI and ending on the date of closing of the Definitive Agreements, unless otherwise extended by the Parties. During the Exclusivity Period: (i) the Parties will continue their due diligence investigations in respect of each other, as applicable, and their respective businesses, operations, assets, financial condition and affairs; (ii) the Parties will proceed with the negotiation and settlement of the terms of the binding Definitive Agreements in respect of the Transaction; and, (iii) the Parties will cooperate in making application and providing all necessary information to the TSX Venture Exchange (“TSXV”) and the Canadian Securities Exchange (“CSE”) in order to obtain pre-clearance of the Transaction and all matters related thereto.

Power Metals U.S. Petrolithium Properties

Paradox Basin, Utah
PWM has an executed joint venture with American Potash Corp., (“AMP”) to explore and develop lithium brines totaling 13,520 acres.  AMP’s US Federal claims and Utah state leases cover known brine-hosting clastic stratigraphy in the Paradox Formation.

Coyote Project – Lisbon Valley, Utah
The Project includes 150 placer mineral claims covering an area of 3,000 acres and inclusive of lithium brine mineral rights, on trend and adjoining to the north, the Lisbon Valley oil and gas field, where historic lithium brine content has been reported as high as 730 parts per million lithium (Superior Oil 88-21P).  The Lisbon Valley oil and gas field is located approximately 40 miles southeast of Moab, Utah in the salt anticline belt on the southwest edge of the Paradox Basin in San Juan county. The oilfield was first discovered by Pure Oil Company in 1960. The Lisbon field produces oil and gas from the southwest flank of a faulted anticlinal trap in the Devonian sandstones and Mississippian limestones (Segal et al., 1986).

PWM Hard Rock Properties:

Case Lake
Case Lake spodumene pegmatite swarm is located 80 km east of Cochrane, northeastern Ontario. Case pegmatite swarm consists of five dykes exposed on surface: North, Main, South, East and Northeast Dyke. North, Main and Northeast Dykes contain spodumene. The North Dyke has greater than 100 m strike length, the Main Dyke has greater than 350 m strike length and the Northeast Dyke has greater than 75 m strike length.  Power Metals’ summer 2017 exploration program on the Case Lake Property will consist of approximately 30 drill holes. The drilling will target the North and Main Dykes to define the pegmatite and lithium mineralization and to extend the dykes to the east and west along strike and down dip. There is 100 m of surface exposed strike length for the Main Dyke that has not yet been drill tested. The Company will also test the possibility that the Main Dyke is actually two parallel pegmatite dykes not just one dyke. Since the pegmatite dykes within the Case Lake pegmatite swarm are parallel to each other, there is potential to find additional buried dykes at depth.

Paterson Lake
The Paterson Lake Property is located 75 km north of Kenora, northwestern Ontario in Paterson Lake. The Property is composed of 64 mining claims totaling 1198 ha and is approximately 15 km by 5 km in size. The project is proximal to Avalon’s Big Whopper pegmatite which is located about 3 km west of the western edge of the claim block. This resource has a strike length of 600m to a maximum vertical depth of 250m.

Gullwing – Tot Lake
The Gullwing – Tot Lake Property is located 30 km northeast of Dryden, northwestern Ontario in Webb township. The Property is composed of 76 mining claims totaling 1216 ha and is approximately 17 km by 1.5 km in size. The Gullwing – Tot Lake pegmatites are located 13 km north east of International Lithium Corp.’s Mavis Lake – Fairservice pegmatites. International Lithium’s partner Pioneer Resource Limited completed 12 drill holes totaling 1,305 m on March 2, 2017 on the Mavis Lake Property with drill highlights of 1.47 % Li2O over 17.9 m and 1.70 % Li2O over 26.3 m (International Lithium, press release dated April 11, 2017).

Larder River
Larder River is in the same South Mountain Batholith of extruded igneous rock that contains Brazil Lake (Larder is in the center of this batholith and Brazil Lake is at the south end). Larder River has, at surface, extrusion of light colour granite rock just like Brazil Lake. These granites host pegmatite dikes which contain high grades of Lithium, Tantalum and Rubidium. Brazil Lake pegmatite boulder sampling in 2011, looking for new pegmatites to drill test showed results in the same range for Lithium as the anomalies seen in the soil sampling program at Larder River.  A core drilling program of 28 holes in 2011 at Brazil Lake encountered extensive LiO² mineralization.

Completion of the Proposed Transaction is subject to a number of conditions including, but not limited to completion of satisfactory due diligence, the negotiation and execution of a definitive agreement and the receipt of applicable regulatory approvals, including the approval of the CSE and the TSXV.

Mr. Grinhaus is an experienced business and tax consultant who has developed a niche expertise in the use of financial technology strategies, including the use of blockchain technology, smart contracts and cryptocurrency to reduce business costs, hedge institutional friction, and expedite capital raises and cross-border wealth transfer transactions.

Mr. Grinhaus is a business and tax lawyer by trade, and his firm, a mid-town Toronto, full-service boutique law firm, was one of the first firms in Canada to publicly advise on the practical uses of blockchain and shared ledger technology, as well as accept cryptocurrencies as payment. His firm’s clients, which operate in a variety of industries and countries worldwide, leverage his knowledge and creativity in the area to plan for current and future business uses of the technology and its application in the business world.

Mr. Grinhaus frequently gives presentations on a variety of business and law-related topics, and has acted as chair, presenter and lecturer through a number of organizations including the Ontario Bar Association (OBA), Ontario Hospital Association, RBC Dominion Securities, Osgoode Hall Law School of York University and Michigan State University College of Law, among others.
